Terms of Service

These Terms govern use of SafePouchPass ("the Service"), operated by Win Elements LLC ("WinElements," "we," "us"). By creating an account or using the Service, you and the school you represent agree to these Terms. If a school and WinElements sign a separate written agreement, that agreement controls where it conflicts with these Terms.

1. The Service

SafePouchPass is a digital hall pass system that lets school staff issue, track, and review student hall passes. Accounts are created for school staff by their school's administrator; there is no public registration and students do not use the Service.

2. Accounts and responsibilities

You must provide accurate account information and keep your credentials confidential. You are responsible for activity under your account.
School administrators are responsible for managing their school's staff access, student roster, and records, and for ensuring their use of the Service complies with school policy and applicable law.
You agree not to misuse the Service — including attempting to access another school's data, probing or disrupting the Service, uploading malicious code, or using the Service for any unlawful purpose.

3. School data

As between the parties, schools own the data they enter into the Service. We process it only to provide the Service, as described in our Privacy Policy. Schools can export their data at any time and may request deletion when they stop using the Service.

4. Pricing

The Service is currently provided to participating schools free of charge. If we introduce paid plans in the future, we will give schools reasonable advance notice, and continued use of any paid tier will require acceptance of its pricing. We will not convert a school to a paid plan without its consent.

5. Availability and support

We work to keep the Service available and secure, including automatic backups, but the Service is provided without a guaranteed uptime commitment unless separately agreed in writing. We may perform maintenance, and may modify features over time. Support is available at hello@winelements.com.

6. Intellectual property

The Service, including its software, design, and branding — SafePouchPass, Safe Pouch®, and WinElements — is owned by Win Elements LLC and protected by intellectual property law. We grant schools and their staff a limited, non-exclusive, non-transferable right to use the Service for the school's internal operations. See our Copyright Policy.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SafePouchPass is an administrative record-keeping tool; it does not monitor student safety in real time and is not a substitute for school supervision, security, or emergency procedures.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WINELEMENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE SCHOOL FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR ONE HUNDRED US DOLLARS IF THE SCHOOL HAS PAID NOTHING). Some jurisdictions do not allow certain limitations, so parts of this section may not apply.

9. Termination

Schools may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms, security risk, or legal requirement, with notice where practicable. Upon termination, the data deletion terms of the Privacy Policy apply.

10. Changes to these Terms

We may update these Terms; material changes will be notified to school administrators by email with reasonable advance notice. Continued use after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, except where the law applicable to a public school requires otherwise.
